房屋交易中关联信息披露义务研究

【摘要】:在现代社会,信息是交易双方当事人缔结合约的基础,只有在拥有充分的信息的基础上所产生的合意,才是双方当事人真实的意思表示。但是,房屋交易市场由于交易标的物的特殊性,买卖双方实际上是处于一个信息不对等的地位,卖方掌握着房地产商品的大量实质性信息,而处在买方地位的消费者拥有的信息只包含一定量的公开信息,卖方的绝对信息优势使得买方只能被迫接受信息和承担风险。本文研究主要是通过对房屋交易中的信息优势方设置信息披露义务,使交易双方在信息占有量上达到相对平等,从而实现房屋买卖合同的实质公正。 文章主要分为四个部分,,第一部分,首先对房屋交易中关联信息披露义务的基本理论问题进行分析,将房屋交易中所涉及的信息界定为关联信息,并将关联信息类型化为直接关联信息和间接关联信息,同时对房屋交易中关联信息披露义务的概念、前提、理论基础等予以分析。 第二部分,主要针对我国房屋交易市场信息不对称的现状,对我国房屋交易中关联信息披露义务的立法及司法现状进行了分析。认为我国现行立法缺乏对房屋交易中关联信息披露义务的具体规定和系统设定,司法实践中也存在法官自由裁量权过大,买方举证困难等问题。 第三部分,主要针对两大法系有关国家对房屋交易中关联信息披露义务的立法及实践进行了考察,并通过比较分析,总结对我国房屋中关联信息披露义务具体设定的启示; 第四部分,针对前述问题,提出了完善我国房屋交易中关联信息披露义务的建议。主要包括:1.建议我国通过司法解释对房屋交易中的关联信息披露义务予以确立;2.对我国房屋交易中关联信息披露义务进行系统设定,在主体范围上应当包括卖方和房屋买卖居间人;在内容上应当包含直接关联信息和间接关联信息,在履行方式方应当借鉴英美法系卖方房屋资料披露表格的形式等;3.对于违反房屋交易中关联信息披露义务的法律责任予以完善;4.提出对法官自由裁量权的限制以及举证责任倒置在此类审判中的引入。
[Abstract]:In modern society, information is the basis on which the parties to a transaction conclude a contract. Only when the parties have sufficient information, can they express their true intention. However, because of the particularity of the subject matter of the transaction, the buyers and sellers are in a position of unequal information, and the seller holds a large amount of material information about the real estate commodities. Consumers in the position of buyer only have a certain amount of public information, the seller's absolute information advantage makes the buyer forced to accept the information and bear the risk. In this paper, we mainly set up the obligation of information disclosure to the information advantage party in the housing transaction, so that the two sides of the transaction can achieve the relative equality in the amount of information, so as to realize the substantial justice of the house purchase and sale contract. The article is divided into four parts. The first part analyzes the basic theory of the related information disclosure obligation in the housing transaction, and defines the information involved in the housing transaction as the related information. At the same time, the paper analyzes the concept, premise and theoretical basis of the disclosure obligation of the related information in the housing transaction. In the second part, aiming at the situation of asymmetric information in China's housing market, the author analyzes the legislative and judicial situation of the disclosure obligation of related information in the housing transaction in China. The author thinks that the current legislation of our country lacks the specific regulation and systematic setting of the obligation of disclosure of related information in the housing transaction, and there are also some problems in the judicial practice, such as the excessive discretion of the judge and the difficulty of proving the evidence of the buyer, etc. The third part mainly focuses on the legislation and practice of the related information disclosure obligation in the housing transaction in the countries of two legal systems, and through comparative analysis, summarizes the inspiration to the specific setting of the related information disclosure obligation in the housing of our country; The fourth part, in view of the above question, has proposed the consummation our country housing transaction related information disclosure duty suggestion. The main contents are as follows: 1. It is suggested that our country should establish the obligation of disclosure of related information in housing transactions through judicial interpretation; 2.The obligation to disclose the related information in the housing transaction of our country should be set up systematically, which should include the seller and the broker of the house sale in the scope of the main body; In terms of content, it should contain direct and indirect related information, and should learn from the form of seller's house information disclosure form of Anglo-American law system in the way of performance. 3. To perfect the legal liability of violating the obligation of disclosure of related information in the house transaction; 4. To put forward the limitation of the discretion of the judge and the introduction of the inversion of the burden of proof in this kind of trial.
