天和钻具公司的投资价值分析与投后管理服务研究

【摘要】：近年来,我国的创业投资行业,发展迅速。对于创业投资机构,在考察企业过程中,如何分析企业的投资价值,是至关重要的课题。完成对企业的投资以后,创业投资机构如何对所投企业进行有效的投后管理和服务,则是当前众多创业投资机构面临的难题。本文运用创业投资、企业投资价值分析、投后管理及服务的相关理论,对长沙天和钻具机械有限公司(以下简称：天和钻具公司)的投资价值,分别从政策及行业概况、企业的法人治理情况、企业的财务状况、企业的法律风险、同业竞争及独立性、生产与技术、上市的准备情况共七个方面进行了分析,从而为判断该企业的投资价值提供了依据；然后采用可比公司法对该企业估值,提出投资方案；接下来结合天和钻具公司的实际情况,从建立现代企业制度、完善治理结构、制定战略发展规划、提升内部管理水平、改善销售体系、规范财务管理、引进高端管理人才等方面,对天和钻具的投后管理及服务进行了研究,而创投机构针对性的投后管理和服务工作推动了天河钻具公司的快速发展。
[Abstract]:In recent years, China's venture capital industry, rapid development. For venture capital institutions, how to analyze the investment value of enterprises in the process of investigation is a crucial issue. After the completion of investment in enterprises, venture capital institutions how to effectively manage and service the investment enterprises is a difficult problem that many venture capital institutions are faced with at present. Based on the theories of venture capital, enterprise investment value analysis, post-investment management and service, this paper analyzes the investment value of Changsha Tianhe drilling tool Machinery Co., Ltd (hereinafter referred to as Tianhe drilling tool Company) from the perspective of policy and industry. The corporate governance of the enterprise, the financial situation of the enterprise, the legal risk of the enterprise, the competition and independence of the same industry, the production and technology, and the preparation for listing are analyzed in seven aspects. It provides the basis for judging the investment value of the enterprise; then it uses the comparable company law to evaluate the enterprise and puts forward the investment plan. Then, according to the actual situation of Tianhe drilling Company, it improves the governance structure by establishing the modern enterprise system. Making strategic development plan, improving internal management level, improving sales system, standardizing financial management, introducing high-end management personnel, etc., this paper studies the post-investment management and service of Tianhe drilling tool. And the management and service work of venture capital organization after investment promotes the rapid development of Tianhe drilling Company.
