论公司僵局司法救济的界限

【摘要】:公司作为现代经济社会的重要主体,以其独特的优越性在经济生活中发挥着巨大的作用。一个公司的运行往往涉及到复杂的法律关系以及相关主体的多重利益需求。在它的发展过程中,也不可避免的会产生种种矛盾,甚至是关乎其生死存亡的严重障碍,公司僵局便是其中之一。近年来,公司僵局问题的司法救济界限是法学理论界及实务界的难题。笔者在对公司僵局界限概述的基础上,分析了我国相关立法及司法解释已经初步建立起公司僵局司法救济制度界限,着重从程序性和实体性两方面来论述司法救济公司僵局界限制度的完善。并就我国有关救济渠道的过于单一性,提出了强制股权收购和强制公司分立两种替代性救济措施。论文的主要内容包括以下三个部分: 第一部分是“公司僵局的概述”。我国公司法没有对“公司僵局”下法律定义,学者们纷纷从不同的角度提出公司僵局的概念,有的侧重于公司僵局的表象,有的则侧重于引起公司僵局的主要原因。在总结评析国内外各种观点的基础上,笔者认为,公司僵局是股东或者董事间在公司日常经营管理决策和事务执行中产生分歧,致使股东会或董事会无法运作,公司治理失去了原先的动态平衡,最终导致其运行机制严重瘫痪的状态。 第二部分是“我国公司僵局司法救济的历史沿革及其适用的界限”。详细分析了2005年《公司法》和2008年相关司法解释关于公司僵局司法救济的适用及其界限。从程序方面而言,司法救济主要受到穷尽公司内部救济方式以及适格的原告股东等方面的限制。从实体方面而言,主要指出了司法救济对于不同情况下的公司僵局应当对待有别,如此才能保证救济的预期效果;另外司法救济还应当平衡僵局中各方的利益,使它们公平的受到保护而不至于厚此薄彼。 第三部分是“我国公司僵局司法救济制度的弊端与完善建议”,详细分析了我国公司僵局司法救济主要制度的弊端与未竟任务,并针对性提出了两种较为适合我国实际情况的司法解散替代性救济措施,即强制股权收购和强制公司分立制度。
[Abstract]:As an important subject of modern economic society, company plays a great role in economic life with its unique superiority. The operation of a company often involves the complex legal relationship and the multiple interests of the relevant parties. In its development process, it will inevitably produce a variety of contradictions, even related to its survival of serious obstacles, corporate deadlock is one of them. In recent years, the judicial relief boundary of corporate deadlock is a difficult problem in the field of legal theory and practice. Based on an overview of the boundaries of corporate deadlock, the author analyzes that the relevant legislation and judicial explanations in China have initially established the limits of the judicial relief system for corporate deadlock. This paper mainly discusses the perfection of the system of judicial relief company deadlock from procedural and substantive aspects. In view of the singularity of relief channel in our country, two kinds of alternative relief measures, compulsory equity acquisition and separation of company, are put forward. The main content of the thesis includes the following three parts: the first part is an overview of corporate deadlock. There is no legal definition of "corporate deadlock" in our company law. Scholars have put forward the concept of corporate deadlock from different angles, some focusing on the appearance of corporate deadlock, and some focusing on the main causes of corporate deadlock. On the basis of summarizing and analyzing all kinds of viewpoints at home and abroad, the author thinks that the deadlock of the company is that the shareholders or directors have different opinions in the decisions and affairs of the company's daily operation and management, which results in the shareholders' meeting or the board of directors being unable to operate. Corporate governance lost its original dynamic balance, resulting in a serious paralysis of its operational mechanism. The second part is the historical evolution of judicial remedy of corporate deadlock and its applicable limits. This paper analyzes in detail the application of the Company Law in 2005 and the relevant judicial interpretations in 2008 on the application and limits of the judicial remedy for the corporate deadlock. From the aspect of procedure, judicial remedy is mainly restricted by exhausting internal remedies and qualified plaintiff shareholders. From the substantive aspect, it mainly points out that judicial relief should be treated differently for different situations of corporate deadlock, so as to ensure the expected effect of relief, in addition, judicial relief should balance the interests of all parties in the deadlock. So that they are fairly protected from one side or the other. The third part is "the malpractice and the perfect suggestion of the judicial remedy system of the company deadlock in our country", and analyzes in detail the malpractice and the unfinished task of the main system of the judicial remedy of the company deadlock in our country. It also puts forward two kinds of alternative relief measures of judicial dissolution which are suitable for the actual situation of our country, that is, compulsory stock ownership acquisition and mandatory company separation system.
