【摘要】:近年来,随着经济的发展,人们对自身利益最大化的追求,生活中产生了形形色色疑难复杂的合同纠纷。在“朱某某与甲房地产公司关于《商品房买卖合同》与《借款协议》纠纷”一案中,双方当事人围绕《商品房买卖合同》与《借款协议》之间的关系以及《商品房买卖合同》是否应该履行产生争议。本案案情简单,但法律关系复杂,从主、从合同的认定,当事人真实意思表示,订立合同的目的和流押条款的法理等几个方面分析可知,本案属于附解除条件的《商品房买卖合同》的履行问题。本案表面上看似时下司法实践当中频发的以签订房屋买卖合同的方式为借款提供担保的新型交易模式,司法机关面对此类案件时,在实际审理中,不能一贯以“名为买卖,实为担保”的思维去定性,而要立足案件具体情节,尊重当事人意志,理清其中的法律关系,这样才能达到公平公正的效果。我国法律法规与司法操作在处理类似“以房抵债”类型案件时存在一定的局限性,需要进一步完善。
