【摘要】:近年来,随着国家的宏观调控政策与部分地区的房地产企业风险频发的现象,导致整个市场的中小房地产企业融资都成为了难题,从银行的角度考虑,风险的控制肯定是最为重要的,这本是无可厚非的事实,然而,在这种调控背景下,众多优质的房地产企业也将面临着资金链断裂的危险,金融机构面对房地产企业整体的风险,大多选择不再对中小型房地产企业放款,这也直接导致了这种成长型房地产企业“断奶”的困境。本文通过研究中国金融市场业务的各交易主体的特性,通过深入分析中小房地产企业——QD房地产开发公司,并详细调查了解了其位于三四线城市的QD时代广场项目。选择该公司作为研究对象,是因为该公司在一定程度上代表着我国成长型的房地产开发公司,其在融资过程中所遇到的困境与国内其他中小房地产企业有一定的共性。本文通过了金融市场创新融资方案的设计,为该项目列举出了多种有较强操作性的交易方案,其中囊括了信托计划、金融资产交易所非公开定向债权投资工具、有限合公司的结构化应用、商业承兑汇票等等,并对方案的交易结构、参与主体进行了多维度的分析,将每一种交易结构的风险点进行了全面的考虑,最后将最为可行的融资方案提出,在QD房地产开发公司可接受的情况下解决QD时代广场项目的融资问题。
[Abstract]:In recent years, with the national macro-control policy and part of the real estate enterprise risk frequent phenomenon, leading to the market of small and medium-sized real estate enterprise financing has become a problem, considering from the angle of the bank risk control is certainly the most important, it is understandable that, however, in this under the background of regulation, a number of high-quality real estate enterprises will face the risk of capital chain rupture, facing the risk of real estate enterprises overall financial institutions, mostly choose not to small and medium-sized real estate enterprises loans, which led directly to the growth of real estate enterprises "weaning" dilemma. In this paper, through the study of characteristics of Chinese the financial market transactions, through in-depth analysis of small and medium-sized real estate enterprises -- QD real estate development company, and a detailed survey of the three or four line of the city is located in the QD Times Square project. The choice of the company as the research object, because the company represents China's growth to a certain extent, the real estate development company, which encountered in the process of financing difficulties and other domestic small and medium-sized real estate enterprises have commonness. Through the design of innovative financial market financing scheme, for the project list there are a variety of trading programs, which include a trust plan, financial assets exchange non-public debt investment tools, structured using finite company, commercial acceptance and so on, and the program to participate in the main structure, multi-dimensional analysis, each kind of transaction structure risk for comprehensive consideration, the most feasible financing scheme is proposed to solve the problem of financing, QD Times Square project in QD real estate development company can accept the case.
