【摘要】:该论文的作者从法律顾问的视角出发,以房地产企业为进路,围绕企业利润最大化,根据现行法律法规和技术规范,为房地产企业提供法律意见,研究房地产项目规划设计民事法律风险防范对策。这对企业将具有重要的实践意义,有利于企业满足消费需求,有效控制成本,防止经济损失,赢取最大利润。 全文共分为四章。第一章“房地产项目规划设计及其民事法律风险防范的意义”,阐述房地产项目规划设计的含义,及其民事法律风险防范的企业实践意义。第二章“房地产项目规划设计民事法律风险的主要情形”,阐述项目合同预设、居住区规划设计不当、建筑规划设计不当、规划设计变更等企业经营行为不当,引起的民事法律风险。第三章“房地产项目规划设计民事法律风险防范的法律对策”,阐述以项目合同预设为主的法律对策,规避民事法律风险,强调把规划设计的法律措施和技术要点转化为“规划设计合同”的合同规范,通过设计单位使科学、合理的项目规划转化为高质量的设计方案;把项目规划设计要求体现在商品房预售合同预设中,在实体上和程序上规制规划设计变更。第四章“房地产项目规划设计民事法律风险防范的补充对策”,阐述企业法律风险团队、中国传统建筑景观学说、国外企业实践的成功经验以及多方参与合作的规划设计模式等措施,对民事法律风险防范的积极意义。 论文的创新之处在于,选题新颖,关注当前房地产企业法律实务的热点、前沿问题,侧重可操作性和实用性,提出解决问题的对策措施。
[Abstract]:The authors of the paper from the perspective of legal counsel, in the real estate business as the route, around the enterprise profit maximization, according to the existing laws and regulations and technical specifications, provide legal advice for real estate enterprises, design and Research on the real estate project planning civil legal risk prevention countermeasures. The enterprise will have important practical significance, is conducive to enterprises to meet consumer demand, effective cost control, prevent economic losses, to win the maximum profits.
This paper is divided into four chapters. The first chapter of "real estate project planning and design of civil legal risk prevention", expounds the planning and design of real estate project and the meaning of enterprise practical significance of civil legal risk prevention. The second chapter "main" real estate project planning and design of civil legal risk, expounds the project contract default, residential district planning design and construction planning and design properly, improper design changes such as business misconduct risk caused by civil law. In the third chapter, "the real estate project planning and design of civil legal risk prevention legal countermeasures", elaborates on the Legal Countermeasures of the project contract default, avoid civil legal risk, legal measures to emphasize contract specification and the techniques of planning and design into the design of "contract", the design unit to make scientific and reasonable project planning into high quality The amount of the project design; planning and design requirements embodied in the commercial housing pre-sale contract default, in the substantive and Procedural Regulation of design changes. In the fourth chapter, "the real estate project planning and design of civil legal risk prevention countermeasures", elaborated the enterprise legal risk team, Chinese traditional architectural landscape theory, the successful experience of foreign enterprise practice and participating in the cooperation mode of planning and design measures, on the positive significance of civil legal risk prevention.
The innovation of this paper is that the topic is new, and focuses on the hot topics and frontier issues of the current legal practice of the real estate enterprises. It focuses on operability and practicability, and puts forward some countermeasures to solve the problems.
