【摘要】:改革开放以来,随着中国经济高速、稳定、持续的发展,外国资本不断涌入并愈发活跃。其中,房地产市场以其巨大的发展潜力、高额的利润以及较好的流动性成为外商在我国投资的热点。外资的进入,一方面提高了我国房地产业的总体层次与水准,促进了国内房地产业与国际接轨,对我国房地产市场融入国际市场起到了推动作用;另一方面也推升了房价的快速上涨,助长了房地产市场泡沫的形成,对我国的经济安全和社会稳定造成了负面影响。因此,对于我国外商投资房地产业市场准入制度的研究,具有重大的理论和实践意义。 本文采用理论分析和实证分析结合、定性分析和定量分析并用、归纳分析和演绎分析连结、对比论证分析以及逻辑推理分析等研究方法,以外商投资房地产业市场准入制度为研究对象,以外商投资和房地产业等方面的法律法规为研究基础,共分为如下四个部分: 第一章,概述我国外商投资房地产业的基本情况。首先分析外资进入我国房地产市场的原因,然后从外商投资我国房地产业的主要方式和主要区域来介绍外资进入我国房地产市场的现状,最后分析外资对我国房地产市场的积极影响与消极影响。 第二章,重点阐述我国外商投资房地产业的市场准入制度。首先概述我国关于外商投资房地产业市场准入的立法情况,包括相关的法律、司法解释、行政法规、部门规章、地方法规等。然后剖析我国外商投资房地产业市场准入制度中的市场投资主体与市场监管主体。最后从市场准入的实体与程序角度逐一详细分析我国外商投资房地产业市场准入的特殊条件,包括对投资形式、注册资本/投资总额、投资方式、投资回报、投资范围、投资程序等方面的要求。 第三章,分析国外房地产市场外资准入制度的立法及启示。首先以美洲、欧洲、亚洲等地的主要国家为例来简述国外在房地产市场外资准入上的立法情况。然后在此基础上,,从投资主体、监管主体、准入条件三个方面进一步归纳出对完善我国外商投资房地产业市场准入制度的可借鉴之处。 第四章,提出完善我国外商投资房地产业市场准入制度的建议。首先从制度本身以及审批和监管等多层次地深度剖析我国外商投资房地产业市场准入目前存在的主要问题。然后针对这些不足和缺陷,有针对性地提出一些富有实际操作性的完善建议,主要涵盖法律框架、审批监管、产业政策、税收手段、金融体系、汇率机制等方面。
[Abstract]:Since the reform and opening up, with the rapid, stable and sustained development of China's economy, foreign capital has been pouring in and becoming more and more active. Among them, the real estate market with its huge development potential. High profits and good liquidity have become the hot spot of foreign investment in China. On the one hand, the entry of foreign capital has improved the overall level and level of the real estate industry in China, and promoted the domestic real estate industry to meet the international standards. It has promoted the integration of Chinese real estate market into the international market. On the other hand, it also pushes up the rapid rise of house prices, contributes to the formation of the real estate market bubble, and has a negative impact on the economic security and social stability of our country. It is of great theoretical and practical significance to study the market access system of foreign investment real estate industry in China. This paper uses the combination of theoretical analysis and empirical analysis, qualitative analysis and quantitative analysis, inductive analysis and deductive analysis, comparative analysis and logical reasoning analysis and other research methods. Taking the market access system of the foreign investment real estate industry as the research object, taking the foreign investment and the real estate industry as the research foundation, it is divided into the following four parts: The first chapter summarizes the basic situation of foreign investment in the real estate industry in China. Firstly, it analyzes the reasons for foreign investment into the real estate market of our country. Then it introduces the current situation of foreign investment in China's real estate market from the main ways and regions of foreign investment in real estate industry, and finally analyzes the positive and negative effects of foreign investment on China's real estate market. The second chapter focuses on the market access system of foreign investment in real estate industry. Firstly, it summarizes the legislation of foreign investment real estate market access, including the relevant laws, judicial interpretation. Administrative regulations and departmental regulations. The local laws and regulations, etc. Then analyze the market investment subject and the market supervision subject in the market access system of our country's foreign investment real estate industry. Finally, from the point of view of the entity and procedure of market access, we analyze the foreign investment house in our country in detail one by one. Special conditions for market access in the real estate industry. Including the form of investment, registered capital / total investment, investment methods, investment returns, investment scope, investment procedures and other requirements. The third chapter analyzes the legislation and enlightenment of foreign real estate market entry system. First of all, America, Europe. Asia and other major countries for example to briefly describe the foreign real estate market foreign access to legislation. Then on this basis, from the investment body, the main body of supervision. Three aspects of access conditions are further summed up to improve the real estate market access system for foreign investment in China. Chapter 4th. Some suggestions are put forward to perfect the market access system of the real estate industry with foreign investment. Firstly, the main problems existing in the market access of the real estate industry with foreign investment are analyzed from the system itself, examination and approval and supervision and so on. And then address these shortcomings and shortcomings. Some practical suggestions are put forward, including legal framework, examination and approval, industrial policy, tax means, financial system, exchange rate mechanism and so on.
