论在建工程抵押的法律风险与防范

【摘要】:随着经济活动的需要,担保制度开始更多地关注担保物权的融资功能,目前我国法律已经明确了在建工程可以作为抵押物。在房地产抵押中,在建工程抵押已经越来越多,在社会实践中也运用的越来越广泛,但是在建工程抵押存在很多隐性风险,对抵押权人尤其是商业银行的权利维护产生了冲击。而我国在建工程抵押制度还很不完善,它在理论和实践中还存在很多不科学的地方。因此本文试图通过法理分析和现实操作性两个角度对在建工程抵押进行详细分析,为今后的学术研究和现实风险防范提出借鉴性意见。 本论文分为五个部分。笔者首先介绍了本文的研究背景、研究现状和创新之处。其次对在建工程抵押进行了学理分析,通过对在建工程概念的分析,阐述了在建工程的特殊性和在建工程抵押的法律特征。再次,笔者系统地总结了在建工程抵押存在的主要法律风险,包括在建工程作为抵押标的物的法律风险、在建工程抵押设立过程中的法律风险、抵押登记办理的法律风险、抵押权实现的法律风险。最后,笔者通过对在建工程抵押的法律风险的产生原因进行分析,,提出了在建工程抵押的风险防范措施。笔者重点针对抵押登记办理的风险,构建了一种新型的风险防范措施——预登记,预登记不同于预告登记或者本登记,而是在相关法律法规存在对在建工程抵押登记的规定空白时商业银行灵活采取的一种争取合法权利的手段,这种方式已经在实务中有一些操作经验,在此提出,希望能获得更多的指点,也供实务界进行参考。最后作者就完善在建工程抵押立法提出了个人建议。
[Abstract]:With the need of economic activities, the security system begins to pay more attention to the financing function of security interest. At present, the law of our country has made clear that construction in progress can be used as collateral. In the real estate mortgage, the construction project mortgage has been more and more widely used in social practice, but there are a lot of hidden risks in the construction project mortgage, which has a great impact on the mortgagee, especially the commercial bank. But the mortgage system of construction project in our country is not perfect, it still has many unscientific places in theory and practice. Therefore, this paper attempts to make a detailed analysis of the mortgage of the construction project in progress from the perspectives of legal theory analysis and practical operation, so as to put forward some useful suggestions for the academic research and the prevention of realistic risks in the future. This paper is divided into five parts. First of all, the author introduces the research background, research status and innovation. Secondly, this paper makes a theoretical analysis on the mortgage of the construction in progress. Through the analysis of the concept of the construction in progress, it expounds the particularity of the construction in progress and the legal characteristics of the mortgage in the construction. Thirdly, the author systematically summarizes the main legal risks existing in the mortgage of the construction project, including the legal risk of the construction project as the subject matter of the mortgage, the legal risk in the course of the establishment of the mortgage under construction, and the legal risk of mortgage registration. The legal risk of the realization of mortgage. Finally, the author analyzes the causes of the legal risk of mortgage in construction, and puts forward the measures to prevent the risk of mortgage in construction. Focusing on the risk of mortgage registration, the author constructs a new risk prevention measure, pre-registration, which is different from pre-registration or this registration. It is a flexible means for commercial banks to fight for legal rights when the relevant laws and regulations have blank provisions on the registration of mortgage in construction projects. This method has already had some operational experience in practice, and it is proposed here. Hope to get more guidance, but also for the practice of reference. Finally, the author puts forward some personal suggestions to perfect the legislation of mortgage in construction.
