我国商品房按揭法律风险及规避

【摘要】:按揭一词最初起源于英美法国家,其英文名称为“mortgage”,之后传入香港粤音译为“按揭”,于20世纪90年初由香港移植到我国大陆,但通常主要指商品房按揭。按揭这种销售方式融合了买卖和贷款两个行为,它的引入给我国大陆的房地产市场带来很大的方便,促进了我国大陆房地产金融市场的蓬勃发展。然而我国大陆对按揭所做的法律规定相对甚少,且法律中并未有按揭的明确规定,按揭在我国大陆仅作为经贸术语而非法律术语存在。因此,我国对按揭的定性尚不明确且在按揭实践中缺少相应的明确的法律法规,房屋按揭市场变得杂乱无章,参与房屋按揭的各方主体也很大程度上面临着大大小小的法律风险,如何对其进行有效规避成了亟待考虑的问题。本文标题中的“我国”主要指中国大陆,以下均简称“我国”。本文主要围绕银行,开发商,购房者三大主要按揭主体所面临的法律风险及风险规避来展开论述,分为三章,主要内容如下:第一章为按揭制度概述,依次概述了英美国家、香港及中国大陆的按揭制度,并对我国大陆按揭制度性质作定性分析。第二章为按揭主体面临的法律风险及原因。通过对按揭过程及按揭法律关系进行概述,依次分析了银行、开发商及购房人在按揭过程中所面临的法律风险及原因。第三章为我国商品房按揭法律风险规避现状及优化。这里主要介绍了国外部分国家及香港按揭经验,并分析了我国商品房按揭目前所采取的法律风险规避的措施及不足,以及结合具体国情在借鉴国外先进措施的基础上对法律风险规避措施进行创新,提出一些优化方案,,力求规避我国房屋按揭中各个主体面临的法律风险,以促进房地产按揭市场的繁荣发展。碍于篇幅和时间的有限,文章不免存疏漏之处,望包容,笔者将会在日后的学习中努力去改进和完善。
[Abstract]:The term "mortgage" originated in Britain, America and France, and its English name was "mortgage", which was later transliterated to Hong Kong and Guangdong as "mortgage". In 20th century, it was transplanted from Hong Kong to mainland China. But generally speaking, it mainly refers to the commercial housing mortgage. The sale method of mortgage combines the two behaviors of buying and selling and lending. Its introduction has brought great convenience to the real estate market in mainland China. It has promoted the vigorous development of the real estate financial market in mainland China. However, there are relatively few legal provisions on mortgage in the mainland of China, and there is no explicit provision on mortgage in the law. Mortgage only exists in mainland China as an economic and trade term rather than a legal term. Therefore, the nature of mortgage in our country is still unclear and there is a lack of corresponding clear laws and regulations in mortgage practice, and the housing mortgage market becomes chaotic. To a large extent, the parties involved in housing mortgage also face legal risks, so how to avoid them effectively becomes an urgent problem to be considered. In the title of this paper, "China" mainly refers to the mainland of China. This paper focuses on the legal risks and risk aversion faced by banks, developers and home buyers. It is divided into three chapters. The main contents are as follows: the first chapter is an overview of mortgage system. In turn, it outlines the mortgage systems of the United States and the United States, Hong Kong and the mainland of China. The second chapter is the legal risk and reasons of mortgage subject. Through the summary of mortgage process and mortgage legal relationship, the bank is analyzed in turn. The third chapter is about the current situation and optimization of the legal risk avoidance of commercial housing mortgage in China. This chapter mainly introduces the mortgage experience of some foreign countries and Hong Kong. It also analyzes the measures and shortcomings of legal risk aversion to commercial housing mortgage in our country, as well as innovates the legal risk aversion measures on the basis of drawing lessons from foreign advanced measures, and puts forward some optimized schemes. We strive to avoid the legal risks faced by various subjects in the housing mortgage in our country, in order to promote the prosperity and development of the real estate mortgage market. Due to the limited space and time, the article cannot avoid omissions and hopes for inclusiveness. I will try to improve and improve in the future study.
