我国房地产投资信托基金投资者利益保护研究

【摘要】:房地产投资信托基金作为一种新型金融投资工具的引入,不仅能为大众投资者提供新的投资渠道,还有利于完善房地产金融市场。研究房地产投资信托基金中的投资者利益保护,不仅有利于该金融产品在我国的推广,更有利于我国房地产市场的可持续发展。 论文共分为三章: 第一章是绪论。绪论围绕提出问题、交代背景展开。在总结本文研究背景及研究意义的基础上,介绍了国内外关于本文选题的研究现状,总结了本文可能的创新点和不足。 第二章指出了房地产投资信托基金投资者利益保护的难点与不利因素。由于投资者对房地产投资信托基金的了解甚少,因而有必要从房地产投资信托基金的概念与法律特征、法律关系以及和其他房地产金融产品的区别这三个层次使投资者逐步理解这种新型的房地产金融产品。另外由于投资者进行房地产投资信托基金产品投资时潜在的一些风险因素(包括投资者面临的道德风险、房地产投资信托基金天然不足以及我国相关法律的现状及不足等)使得有必要对房地产投资信托基金的投资者进行利益保护。 第三章是研究投资者利益保护的对策。一是需要强化对投资者的教育。其中包括房地产投资信托基金的复杂性和特殊性要求加强投资者教育以及具体承担投资者教育职责的主体和内容。二是需要依法规制房地产投资信托基金当事人的行为,主要从基金管理人、基金托管人以及基金投资者和持有人大会三个方面来进行规制。三是需要建立投资者保护机构体系。
[Abstract]:The introduction of real estate investment trust fund as a new type of financial investment tool can not only provide a new investment channel for the public investors. The research on the protection of investors' interests in the real estate investment trust fund is not only conducive to the promotion of the financial product in China, but also conducive to the sustainable development of the real estate market in China. The thesis is divided into three chapters:. The first chapter is the introduction. The introduction focuses on putting forward questions and explaining the background. On the basis of summarizing the research background and significance of this paper, this paper introduces the domestic and foreign research on the topic of this paper, summarizes the possible innovations and shortcomings of this paper. The second chapter points out the difficulties and disadvantages of the protection of investors' interests in real estate investment trust funds. Because investors know little about real estate investment trust funds, it is necessary to start with the concept and legal characteristics of real estate investment trust funds. The three levels of legal relationship and the distinction from other real estate financial products enable investors to gradually understand this new real estate financial product. In addition, because of the potential of investors when investing in real estate investment trust fund products. Some of the risk factors (including the moral hazard faced by investors, It is necessary to protect the interests of the investors of the real estate investment trust fund because of the natural shortage of the real estate investment trust fund and the current situation and deficiency of the relevant laws in our country. The third chapter is to study the countermeasures to protect the interests of investors. First, we need to strengthen the education of investors, including the complexity and particularity of real estate investment trust funds. Second, it is necessary to regulate the behavior of the parties involved in real estate investment trust funds according to law. The regulation is mainly from three aspects: fund manager, fund custodian and fund investor and holder conference. Third, it is necessary to establish investor protection institution system.
